Location: Jefferson Hills, PA Department: Legal Reports To: General Counsel (GC) Title: Contract Review Manager (CRM)
Overview of Responsibilities: The Contract Review Manager (CRM) will oversee the Contract Review process by working with the Contract Review Administrators (CRA), the sales and technical teams, finance, the Corporate Paralegal (CP) and the General Counsel (GC) in the review, negotiation and the approval of customer contracts, as well as, in certain circumstances, quotations, bids or other binding offers. The CRM will evaluate terms and conditions of contracts, the risks associated therewith and risk mitigation strategies, all with the primary goals of protecting the company’s interests, ensuring that the company does not enter into an agreement that could do damage to the company financially or otherwise and confirming that the agreements entered into with customers reflect the business transaction expected by the applicable division(s).
Responsibilities:
Reviewing and analyzing all legal, technical and commercial documents associated with non-standard customer contracts, including applicable terms and conditions and related documentation.
Evaluating the risks associated with the customer contract from a legal perspective and preparing contractual risk assessments thereof.
Preparing special terms and conditions, signable versions of standard terms and conditions or other documents for use in contract negotiations, with the support of the CP or GC as necessary.
Revising and negotiating customer terms and conditions and other customer contracts and coordinating inputs from CRAs, sales, finance and other internal stakeholders into such revisions and negotiations, with the support of the CP or GC as necessary.
Managing the overall contract review process administratively, including:
Maintaining contract review email aliases
Following up with internal reviewers and external parties to drive contract reviews to completion
Communicating status reports on open contract reviews to key stakeholders
Reviewing and reporting on contract review data
Keeping contract review work instructions up to date
Continually seeking outside input to evaluate and implement potential process improvements
Assisting the CP and GC in on-going Contract Review process training of CRAs, sales teams, product managers and executives, including developing training materials
Other duties as assigned
Qualifications: Required
A Bachelor’s degree in a related field or equivalent years of experience
A basic understanding of legal language and business requirements
Excellent communication skills, both verbal and written
Computer literacy
An ability to work in a team environment and pull necessary information from others
An ability to be assertive when necessary
An ability to think analytically and logically
Preferred
A background in the legal field or equivalent experience through working closely with in-house counsel
A strong understanding of technical terms and the products, services and applications offered by the company
An intermediate or advanced understanding of legal language and business requirements
A technical and/or business background
Three or more years of previous contract review and administration experience
Working Environment:
Primary working environment is an office setting
Full time on-site work preferred, with the opportunity to work remotely two days per week
